The agreement
These Terms of Service ("Terms") are an agreement between QuickMenuQR ("we", "us") and the business that creates a QuickMenuQR account ("you", the "merchant"). They cover our website, apps and software (the "Service").
By creating an account or using the Service, you accept these Terms, our Privacy Policy and our Acceptable Use Policy. If you accept for a business, you confirm you have authority to bind it. You must be at least 18 years old.
Accounts
- Give accurate registration details and keep them up to date.
- You are responsible for everything done under your account, including by staff you add. Give staff only the roles they need.
- Keep passwords and PINs confidential. Tell us at support@quickmenuqr.com straight away if you suspect unauthorised access.
Plans and billing
- Free trial. Each business gets one free trial of 7 days. No card is needed and nothing is charged automatically. When the trial ends, the account is locked until you subscribe to a paid plan. We may refuse or end a trial early where we reasonably believe it is being misused, for example by opening several accounts for the same business.
- Paid plans are billed in advance, at the price shown on our pricing page or at checkout. Each payment covers 30 days of access. If you pay during your free trial, the paid period starts when the trial ends.
- Prices do not include taxes. You are responsible for all taxes, duties and bank or currency-conversion charges that apply to your payments, other than taxes on our income.
- Payments are processed by our payment providers (such as Stripe, Razorpay, Cashfree or Creem) under their own terms. We do not store your card details and are not responsible for a provider's errors, delays or outages.
- Where your payment provider supports it, your subscription renews automatically until cancelled; otherwise you renew by paying again before the period ends. If a period ends unpaid, the account is locked after a 3-day grace period until it is paid.
- If you dispute a payment with your bank or card issuer (a chargeback) instead of contacting us first, we may lock the account while the dispute is open, and you must repay any amount reversed plus the fees we are charged for the dispute.
- Enterprise plans are agreed with us directly, and their pricing and terms are set out in that agreement.
- We may change prices with at least 14 days' notice by email or in the app. A change applies from your next billing period after the notice. If you do not accept it, you may cancel before it takes effect.
Cancellation and no-refund policy
- All payments are final and non-refundable. Use the free trial to decide whether the Service suits you before you pay.
- You may cancel at any time by emailing support@quickmenuqr.com from your account email address. Cancellation takes effect at the end of the current paid period, and you keep access until then.
- We do not give refunds or credits for partial periods, unused time or features, downgrades, unused accounts, outages or maintenance, changes to features, or an account that is locked, suspended or closed for non-payment or for breaking these Terms.
- Nothing in these Terms removes any right to a refund that the law where you are based gives you and that cannot be excluded by contract.
Your content and data
- You keep ownership of everything you put into the Service, such as menus, photos, prices and records ("Your Content"), and of your guests' data.
- You give us a worldwide, royalty-free permission to host, copy, process and display Your Content as needed to provide and improve the Service, for example to show your menu to your guests.
- We may use aggregated, de-identified data that does not identify you, your restaurant or your guests (such as overall usage statistics) to run, secure and improve the Service.
- Unless you ask us not to, we may name your restaurant and show its logo as a QuickMenuQR customer.
- You confirm you have the rights to Your Content and that it is lawful.
- You are solely responsible for the accuracy of your menus, including prices, allergens, dietary labels and alcohol information, and for backing up any records you need to keep.
You can ask us at any time for a copy of your data, or for it to be deleted. If an account stays locked (unpaid) or closed for 90 days, we may permanently delete its data. We handle data as described in the Privacy Policy.
Acceptable use
You must follow our Acceptable Use Policy, which forms part of these Terms. Among other things, it prohibits:
- illegal content
- misuse of the Service or of our AI features
- sexually explicit or NSFW content in menus or AI-generated content.
AI features
- Optional AI tools can draft menu descriptions, translate items, read menu photos, generate dish images and suggest business insights. AI output is generated automatically and may be inaccurate, incomplete or unsuitable.
- You must review AI output before publishing it, and you are responsible for what you publish. Never rely on AI output for allergen, nutritional or legal information without checking it.
- You may use output generated for your account in your business, subject to the Acceptable Use Policy and the law.
- We may refuse, filter or limit AI requests that break the Acceptable Use Policy, and may apply fair-use limits to AI usage.
Your guests
- Your relationship with your guests — orders, food, food safety, service, prices, payments, refunds and reservations — is between you and them. We are not a party to it and are not responsible for disputes, missed or wrong orders, or losses between you and your guests.
- When you collect guest data through the Service, you are responsible for having a lawful basis and for giving guests any privacy information the law requires. We process guest data on your behalf, as described in the Privacy Policy.
Availability and changes
- We work to keep the Service available and secure, but do not guarantee it will be uninterrupted, error-free or available at any particular time, and we offer no uptime commitment unless one is agreed in a signed Enterprise contract. Planned maintenance and outages outside our control can happen.
- You need your own internet connection, devices and printers, and a fallback for taking orders if the Service is unavailable.
- We may improve, change or remove features at any time. If we remove a major feature you pay for, we will tell you in advance.
- Features marked beta, preview or experimental are provided as they are and may change or be withdrawn without notice.
- The Service relies on third-party providers (for example hosting, payment and AI providers). We are not responsible for their services, errors or outages.
Our intellectual property
- The Service, including its software, design and branding, belongs to QuickMenuQR and its licensors. We give you a limited, non-exclusive, non-transferable right to use it for your business during your subscription.
- You may not copy, resell or reverse-engineer the Service, or use it to build a competing product.
- If you send us feedback, we may use it without obligation to you.
Suspension and termination
- We may suspend or close an account, immediately and without notice, if it breaks these Terms or the Acceptable Use Policy, is not paid, or creates a security, fraud or legal risk. Where we think it is appropriate, we may warn you first and give you a chance to fix the problem.
- We may also stop providing the Service to you for any other reason by giving you at least 30 days' notice. In that case you keep access until the end of the period you have already paid for.
- When an account closes, your right to use the Service ends and any amounts you owe become due at once. Sections that by their nature should continue (such as payment owed, no refunds, disclaimers, limitation of liability and indemnity) still apply.
Disclaimers
Except as stated in these Terms, the Service is provided "as is" and "as available". As far as the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms limits rights you have under consumer law that cannot be excluded.
Limitation of liability
- As far as the law allows, we are not liable for indirect, incidental, special, punitive or consequential losses, or for lost profits, revenue, sales, orders, goodwill or data, even if we were told they were possible.
- We are not liable for losses caused by your menus or prices, AI output you publish, your staff, your guests, your devices or internet connection, third-party providers, or events outside our reasonable control.
- Our total liability for all claims relating to the Service is limited to the fees you paid us in the 3 months before the event that gave rise to the claim. During a free trial, when you have paid nothing, our total liability is limited to USD 50.
- Any claim against us must be brought within one year after it arises, where the law allows such a time limit.
- These limits do not apply to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
Indemnity
You will defend and indemnify QuickMenuQR, and our owners, staff and contractors, against third-party claims, and the losses, fines and reasonable legal costs that follow from them, arising from:
- Your Content, including menus, prices, allergen information and AI output you publish
- your dealings with your guests, including food, service, payments and their data
- the acts of your staff and anyone using your account
- your breach of these Terms, the Acceptable Use Policy or the law.
General
- We may update these Terms. For material changes, we will notify account owners at least 14 days in advance by email or in the app. If you keep using the Service after the change takes effect, you accept the new Terms.
- We are not responsible for delays or failures caused by events outside our reasonable control, such as outages of internet, power, hosting or payment networks, attacks, natural disasters or government action.
- If any part of these Terms is unenforceable, it is applied to the fullest extent allowed and the rest stays in force.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer your account or these Terms without our written consent. We may transfer them to a company that takes over our business or the Service.
- These Terms are governed by the laws of India. The courts of Chennai, Tamil Nadu have exclusive jurisdiction over any dispute about them or the Service.
- These Terms are the entire agreement on this subject, unless you have a separate signed agreement with us, such as an Enterprise contract.
